9. Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of this website (each a “Dispute”) will be resolved by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration will be conducted in the State of Ohio or remotely as the arbitrator directs. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

YOU AND IRONWOOD DIGITAL EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. Disputes will be resolved on an individual basis only. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding.

Notwithstanding the above, either party may bring a small-claims court action on an individual (non-class) basis.

If any portion of this Section 9 is found to be unenforceable, that portion will be severed and the remainder will continue in effect.

10. Governing Law and Venue

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles. Subject to Section 9, any action permitted to be brought in court shall be brought exclusively in the state or federal courts located in Cuyahoga County, Ohio.

11. Changes to These Terms

We may update these Terms from time to time. The “Effective Date” at the top of this page indicates when the current version took effect. Continued use of this website after a change constitutes acceptance of the updated Terms.
